You represent that you have all necessary rights to grant such a license and that your submission does not violate any third-party rights or applicable laws. Kyklosify reserves the right to review, modify, or remove any Submitted Materials at its discretion.

Limitation of Liability

Under no circumstances shall Kyklosify or its affiliates be liable for any indirect, incidental, special, punitive, or consequential damages. In any event, our aggregate liability shall not exceed the total fees paid by you in the twelve months preceding the claim. Some jurisdictions may not allow the exclusion of implied warranties or limitations on liability; if so, such exclusions or limitations may not apply.

Force Majeure

11. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services will immediately cease, and any data associated with your account may be deleted at our discretion.

13. Governing Law and Dispute Resolution

Except as otherwise provided herein, these Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

Mandatory Binding Arbitration:
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of our Services shall be exclusively resolved by final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its then-current Commercial Arbitration Rules. The arbitration shall be conducted in San Jose, California, in the English language, except that either party may elect to have the arbitration conducted in another mutually agreed location if both parties consent in writing.

Small Claims and Certain Disputes:
Notwithstanding the foregoing, either party may bring any claim or dispute that qualifies for resolution in small claims court. In addition, if any arbitration provision is held to be invalid or unenforceable, the dispute shall be resolved in the appropriate state or federal court located in San Jose County, California.

Waiver of Jury Trial and Class Action Waiver:
By using the Services, you acknowledge and agree to waive your right to a trial by jury and to participate in a class or representative action.

15. General
